The law firm Dimitrova, Staykova & Partners is seeking an ambitious lawyer with experience in corporate and commercial law to join a team specializing in investments and working with VC funds. As a lawyer, you will be actively involved in the preparation and legal management of equity investment deals, company acquisitions, corporate mergers and restructuring, while also providing legal support for investment projects in startups and rapidly growing companies.
Main Responsibilities:
Preparation of investment documentation:
– Preparation of equity investment agreements, convertible loans, and other investment instruments;
– Preparing shareholders agreements, investment contracts, and all related documents;
– Preparation of documentation for contributions, capital increases and decreases;
Legal consulting and representation in investment transactions:
– Participating in negotiations between investors and startups/rapidly growing companies, providing legal support and advising clients on investment terms and processes;
– Preparing legal opinions related to investment terms and regulatory requirements;
Legal support in Mergers and Acquisitions (M&A):
– Legal facilitation of mergers and acquisitions, including due diligence and deal structuring;
– Preparation of M&A contracts and all related transaction documents;
– Preparing documentation for the Commercial Register in relation to mergers and acquisitions;
Legal analyses (due diligence):
– Legal analysis of companies in the process of acquisition or seeking investment;
– Assessing legal risks related to existing contracts, liabilities, corporate structure and intellectual property of the company;
Preparation of contracts and agreements:
– Preparing and reviewing agreements for receiving and transferring equity participation, agreements among partners and shareholders, commercial contracts and other documents related to corporate changes;
– Consulting and preparing documentation on issues related to the corporate structure of companies;
Corporate changes:
– Managing corporate changes, including capital increases/decreases, management changes and other legal status modifications;
– Establishment and conversion into Variable Capital Companies (VCCs);
Consulting and legal support for startups:
– Advising startups on legal matters related to their operations, structure, and investment opportunities;
– Preparing documents for the establishment, financing and development of startup activities;
Requirements and Skills:
– Completed higher education in law;
– Excellent English language skills, both written and spoken;
– At least 2 years of professional experience in corporate and commercial law;
– Experience in preparing commercial contracts, legal documentation for share transfers, capital increases/decreases and contributions;
– Proactivity and willingness to learn and grow in a dynamic environment;
– Experience and interest in company legal analyses (due diligence), with knowledge and interest in financial and investment legislation, experience in negotiations, and preparing investment documentation, including equity investments and convertible loans;
